Terms of Use

1. General Provisions

1.1. These Terms of Use ("Terms") govern access to and use of Price Pulse, including the website (pricepulsebot.com), web application (app.pricepulsebot.com), bots, API, and related tools (collectively, the "Service"), operated by Price Pulse, registered in the Republic of Armenia.

1.2. By creating an account or using the Service, you confirm that you have read, understood, and accept these Terms. If you do not agree, you must stop using the Service immediately.

1.3. Price Pulse is an automation and analytics tool for P2P crypto merchants. It monitors P2P markets and, based on rules you configure, automatically updates the price of your advertisements on supported exchanges (Binance, Bybit) through their public APIs.

1.4. Price Pulse is NOT: a cryptocurrency exchange, broker, dealer, or financial intermediary; a payment system or custodian of funds or digital assets; a party to any P2P transactions between you and counterparties; a provider of investment, financial, legal, or tax advice; an order-matching engine — we do not match buyers and sellers; we only update the price of advertisements you already own on third-party exchanges.

1.5. The Service never accepts, holds, custodies, or manages users' funds or digital assets. All assets remain in your own exchange account at all times.

2. Eligibility and User Responsibilities

2.1. You must be at least 18 years old to use the Service.

2.2. You confirm that use of the Service is lawful in your jurisdiction and that your use of Binance, Bybit, or any other connected exchange is lawful in your jurisdiction.

2.3. You are solely responsible for compliance with: the laws, regulations, and licensing requirements of your country of residence and operation; the terms of service and rules of the P2P platforms you connect (Binance, Bybit); all applicable tax and reporting requirements; anti-money-laundering (AML) and counter-terrorism-financing (CTF) obligations.

2.4. Price Pulse does not provide investment recommendations, financial advice, legal advice, or tax guidance. Any information displayed in the Service — including market averages, competitor prices, and Auto Price calculations — is informational only.

3. Account Registration

3.1. Use of the Service requires an account.

3.2. You agree to provide accurate, current, and complete information during registration and to keep it up to date.

3.3. You are fully responsible for: keeping your login credentials confidential; all activity performed through your account; immediately notifying us of any suspected unauthorized access at [email protected].

3.4. We may suspend, restrict, or terminate an account in the event of: breach of these Terms; suspicious, abusive, or malicious activity; threats to the security of the Service or other users; lawful requests from regulatory or governmental authorities.

4. Exchange API Keys — User Warranties

By connecting an exchange API key to Price Pulse, you warrant and confirm that:

4.1. The API key belongs to an exchange account that you lawfully own and control.

4.2. The API key is configured without withdrawal permissions. You understand that Price Pulse requires only read and P2P ad management permissions, and never requests or uses withdrawal rights.

4.3. You are authorized to grant Price Pulse access to operate on that account.

4.4. You can revoke API access at any time by disabling the key on the exchange side, and you are responsible for doing so when no longer needed.

4.5. You accept responsibility for monitoring your own account and for any trading activity, regardless of whether it was initiated automatically by Price Pulse based on rules you configured.

5. Service Description and Automation

5.1. The Service includes, among other features: P2P market monitoring across supported exchanges; competitor tracking and market average calculation; automated price updates on your advertisements, executed via exchange APIs based on rules you configure; the Auto Price engine (competitor-based, market-average, and spot-difference pricing modes); Auto-break mode for Binance; dashboard, alerts, and notifications.

5.2. You acknowledge that the Service automatically executes price updates on your behalf based on the configuration you provide. You remain fully responsible for: the configuration of your pricing rules, min/max limits, and priority order; monitoring the Service's activity on your account; all consequences of automated price updates, including missed opportunities, unfavorable executions, and accepted P2P orders at automated prices.

5.3. All information provided by the Service is delivered "as is" and "as available". We do not guarantee the accuracy, completeness, timeliness, or uninterrupted availability of market data, which may be affected by exchange API limitations, network conditions, rate limits, or sudden market volatility.

6. Pricing and User Control

6.1. All pricing rules are set exclusively by you. The Service applies those rules; it does not invent prices.

6.2. Price Pulse does not: set prices without your configuration; modify your rules without your action; guarantee transaction outcomes or profitability; decide your trading strategy for you.

6.3. All trading and pricing decisions — including the decision to enable automation at all — are made by you at your own risk.

7. Auto Price Feature

7.1. Auto Price is an automation engine that calculates a target price based on your chosen mode (competitor-based, market-average offset, or spot-price difference) and automatically applies it to your live P2P advertisement through the exchange API.

7.2. Auto Price: is optional and must be explicitly enabled by you per ad or per fiat asset; does not guarantee profit, fill rate, or any specific outcome; does not replace your own judgment or risk assessment.

7.3. The calculation may not fully account for: exchange fees or P2P transaction costs; payment method restrictions or risks; regional or counterparty-specific factors; sudden market shifts between update cycles (prices update every minute).

7.4. The min/max price range you set is the binding boundary. Within that range, automation will apply the calculated price on the next update cycle.

8. Prohibited Uses

You agree not to use the Service for:

8.1. Any activity that violates applicable law, including money laundering, terrorist financing, sanctions evasion, tax fraud, or fraud against counterparties.

8.2. Market manipulation, including wash trading, spoofing, coordinated price manipulation, or any activity intended to mislead other market participants.

8.3. Violating the terms of service of Binance, Bybit, or any other connected exchange.

8.4. Attempting to circumvent exchange rate limits, security controls, or access restrictions beyond what is granted by the public API.

8.5. Reverse-engineering, scraping, reselling, or redistributing the Service, its data, or its infrastructure without prior written permission.

8.6. Sharing account credentials with third parties, or using a single subscription to operate accounts for multiple unrelated persons or entities.

8.7. Accessing the Service for the purpose of building a competing product, or for benchmarking that is disclosed publicly without our consent.

Violation of this section may result in immediate account termination without refund, in addition to any legal remedies available.

9. Subscriptions and Payments

9.1. Some features of the Service require a paid subscription. Available plans, pricing, and included features are listed on the Service website and may be updated from time to time.

9.2. Subscription payments are processed through Binance Pay. By initiating a subscription, you authorize the corresponding payment.

9.3. Refund policy: Subscriptions are non-refundable once the Service has executed at least one successful automated price update on your behalf. Before that point, you may request a refund by contacting [email protected]. By enabling automation on any advertisement, you expressly waive any applicable right of withdrawal for digital services that have begun performance with your consent.

9.4. Canceling a subscription stops future charges but does not cancel services already rendered and does not trigger a refund of the current billing period.

9.5. Unpaid or failed renewals will result in automatic suspension of automation until payment is completed.

10. Service Availability

10.1. The Service is provided on a best-effort basis. We aim for high availability but do not guarantee uninterrupted or error-free operation and do not offer a formal uptime SLA at this time.

10.2. We are not liable for downtime, delays, or service disruptions caused by: third-party exchanges (Binance, Bybit) including their API outages, rate limits, or policy changes; infrastructure providers and network operators; force majeure events; scheduled or emergency maintenance; any event beyond our reasonable control.

10.3. We may perform maintenance, deploy updates, or modify features at any time. Where possible, advance notice will be given for scheduled maintenance.

11. Limitation of Liability

11.1. To the maximum extent permitted by the laws of the Republic of Armenia, Price Pulse, its operators, employees, and partners shall not be liable for: any indirect, incidental, consequential, or special damages; lost profits, lost revenue, or loss of business opportunity; loss of data or loss of access; financial losses arising from the use of, or inability to use, the Service; losses arising from automated price updates executed according to the rules you configured; losses arising from decisions or actions of third parties, including exchanges, counterparties, and payment processors.

11.2. Where liability cannot be excluded under applicable law, our aggregate liability for any claim arising from your use of the Service is limited to the total fees paid by you to Price Pulse in the three (3) months preceding the event giving rise to the claim.

11.3. Nothing in these Terms excludes or limits liability for gross negligence, willful misconduct, or any liability that cannot be excluded or limited under applicable law.

11.4. You use the Service entirely at your own risk.

12. Disclaimer of Warranties

12.1. The Service is provided "as is" and "as available", without warranties of any kind, express or implied, to the fullest extent permitted by law.

12.2. Price Pulse does not warrant that the Service will: operate without interruption or error; meet your expectations or specific requirements; achieve any particular financial result; remain compatible with any third-party platform, exchange, or P2P marketplace as those platforms evolve.

13. Indemnification

You agree to indemnify and hold harmless Price Pulse, its operators, and partners from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

13.1. Your use or misuse of the Service.

13.2. Your violation of these Terms.

13.3. Your violation of any applicable law, regulation, or third-party terms (including exchange ToS).

13.4. Any third-party claims arising from your trading activity, regardless of whether initiated manually or automatically through the Service.

14. Suspension and Termination

14.1. Price Pulse may restrict, suspend, or terminate your access to the Service, with or without prior notice, in the event of: breach of these Terms or the Prohibited Uses section; suspected abuse, fraud, or market manipulation; security threats to the Service or other users; legal or regulatory requirements; non-payment of subscription fees.

14.2. You may terminate your account at any time by canceling your subscription and requesting account deletion at [email protected].

14.3. On termination: your automation will stop; your API keys will be removed from our systems; your account data will be deleted or anonymized within 30 days, except where retention is required by law (see Privacy Policy); pre-paid subscription fees are not refunded except as provided in Section 9.3.

14.4. Users may not claim compensation for termination or restriction of access made in accordance with these Terms.

15. Intellectual Property

15.1. All rights to the Service — including source code, design, user interface, structure, databases, algorithms, content, logos, and trademarks — belong to Price Pulse or are used under license.

15.2. Users are granted a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose.

15.3. The following are prohibited without prior written permission: copying, modifying, or creating derivative works of the Service; distributing, reselling, or sublicensing access to the Service; reverse engineering, decompiling, or attempting to extract source code; removing or altering copyright, trademark, or proprietary notices.

15.4. Data ownership: Your account data, automation configuration, and API keys remain your property. You grant Price Pulse a limited license to process this data solely for the purpose of operating the Service.

16. Privacy and Personal Data

16.1. Data processing is governed by our Privacy Policy (available at pricepulsebot.com/privacy), which forms an integral part of these Terms.

16.2. By using the Service, you consent to data processing to the extent necessary for its operation, as described in the Privacy Policy.

16.3. Price Pulse takes reasonable technical and organizational measures to protect personal data but cannot guarantee absolute security.

17. Force Majeure

Price Pulse is not liable for failure or delay in performing obligations caused by circumstances beyond its reasonable control, including but not limited to: internet or telecommunications outages; exchange API outages or policy changes; government actions, sanctions, or regulatory restrictions; technical failures of third-party infrastructure; cyberattacks; war or armed conflict; natural disasters; or pandemics.

18. Beta and Experimental Features

18.1. The Service may include features marked as "beta", "experimental", or "preview".

18.2. Such features are provided without any warranty and may be modified or removed at any time without notice.

18.3. Use of beta features is at your own risk and on an as-is basis.

19. Amendments

19.1. Price Pulse may modify these Terms from time to time to reflect changes in our Service, legal requirements, or business practices.

19.2. For material changes, we will notify registered users by email or through the Service at least 14 days before the changes take effect, where reasonably possible.

19.3. Continued use of the Service after the effective date of updated Terms constitutes acceptance. If you do not accept the updated Terms, you must stop using the Service before the effective date.

20. Governing Law and Disputes

20.1. These Terms are governed by and construed in accordance with the laws of the Republic of Armenia, without regard to conflict-of-law principles.

20.2. All disputes arising from or in connection with these Terms shall first be addressed through good-faith negotiation between the parties.

20.3. If negotiation fails, disputes shall be submitted to the competent courts of the Republic of Armenia.

20.4. This choice of governing law does not deprive consumers located in other jurisdictions of the protection afforded by mandatory provisions of their local law.

21. Miscellaneous

21.1. Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

21.2. No waiver. Failure to enforce any provision of these Terms does not constitute a waiver of the right to enforce it later.

21.3. Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. Price Pulse may assign these Terms in connection with a corporate reorganization, merger, or sale of assets.

21.4. Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Price Pulse regarding the Service.

21.5. Language. These Terms are published in English. Translations are provided for convenience; in case of conflict, the English version prevails.
